1.3                The services offered by any parcel delivery company ("Carrier") which may be recommended to you by Delivery Net Works when you input your requirements on the on-line submission form on this Web Site, are provided by the particular Carrier that you choose.

1.4                The services offered by any Carrier that you choose ("Carrier Services") are subject to the separate terms and conditions between you and the applicable Carrier. You acknowledge by accepting these Terms of Use that the applicable Carrier (and not Delivery Net Works) is solely responsible for the delivery of your goods. Any disputes, questions or complaints regarding the Carrier Services should be directed to the Carrier in question, and you acknowledge that Delivery Net Works shall have no responsibility, obligation or liability in respect to those Carrier Services.

2.1                Delivery Net Works grants to you a personal, non-exclusive, non-transferable, royalty-free licence to use the material on the Web Site ("Delivery Net Works Material"), on the basis set out in Clause 2.2.

2.2                You are entitled to access, download and transmit (for the purpose expressly permitted in these Terms of Use) and store the Delivery Net Works Material for your own personal, non-commercial use provided that you do not:

2.2.1          remove any notices relating to the ownership of copyright or other Intellectual property Rights (as defined in Clause 3.1 below) in the Delivery Net Works Material;

2.2.2          rent, lease, sub-licence, loan, copy or give or transfer any rights in the Delivery Net Works Material in any form, to any person or entity without the prior written consent of Delivery Net Works.

3.1                Notwithstanding the limited rights granted to you in accordance with Clause 2, Delivery Net Works, or Delivery Net Work's suppliers, subcontractors and agents (collectively "Delivery Net Works Contractors") (as applicable) shall retain all ownership, title and interest in the intellectual property rights contained in the Delivery Net Works Material (including but not limited to copyright, database rights, trade marks, patents, service marks, design rights (whether registerable or otherwise) know-how, trade or business names, domain names, goodwill associated with any of the foregoing and other similar rights or obligations whether registerable or not in any jurisdiction in the world ("Intellectual Property Rights").

4.1                These Terms of Use are binding upon you immediately. You accept them by your use of this Web Site, and they will remain in force until the earlier of the following:

4.1.1          you breach any of the terms of the licence granted to you in accordance with Clause 2;

4.1.2          Delivery Net Works terminates these Terms of Use by notice to you at any time in accordance with Clause 9.2; or

4.1.3          you terminate these Terms of Use by notice to Delivery Net Works at any time in accordance with 9.1.

4.2                In the event that these Terms of Use are terminated the licence granted to you in accordance with Clause 2 shall be terminated forthwith and you shall have no further rights to use the Delivery Net Works Material.

4.3                In the event that these Terms of Use are terminated for any reason in accordance with this Clause 4, any provisions of these Terms of Use which are either expressly or by their nature designed to survive termination will so survive.

5.1                Delivery Net Works undertakes to use commercially reasonable endeavours to prevent breaches of security of the Web Site.

5.2                Delivery Net Works makes no representation or warranty that the Web Site will be accessible, or useable by you or error free.

5.3                Delivery Net Works reserves the right without notice to you, to remove any Delivery Net Works Material from the Web Site or to suspend or alter the operation of the Web Site, at its sole discretion, or for legal or technical reasons. Delivery Net Works will give you as much notice as possible prior to taking any of the actions described in this Clause, but prior notice may not always be feasible for a variety of reasons.

6.1                You agree that you are responsible for the accuracy of any information provided by you to Delivery Net Works via this Web Site and that Delivery Net Works cannot be held responsible or liable for any loss, damage or delay caused as a result of your breach of this Clause 6.1.

6.2                You agree to indemnify Delivery Net Works against any claims, costs, expense or legal proceedings caused as a result of your breach of Clause 6.1, further in these circumstances Delivery Net Works shall be entitled to treat the contravention as a material breach of these Terms of Use and terminate these Terms of Use and any access permission granted to you by Delivery Net Works forthwith, without notice to you.

7.1                Delivery Net Works will only capture or store your personal information for the purposes of providing the Service and may pass on your email address and name and address to certain Carriers so that they may provide Carrier Services to you. Delivery Net Works may also pass on your personal information to reputable companies chosen by Delivery Net Works, who may offer you goods and services by post or email. Please tick the box on the on-line submission form if you do not wish to receive offers from such companies in the future.

7.2                Delivery Net Works uses "cookies" for collecting certain user information from you on this Web Site. Cookies are small text files stored by your browser on your computer's hard drive from Delivery Net Work's web servers. Their main purpose is to allow Delivery Net Works' servers to recognise your computer when you log onto the Web Site, and to personalise your visit to the Web Site. If you do not wish to allow the use of cookies, you may change your browser settings to prevent this, but you may not be able to access the Web Site properly as a result.

7.3                For the purposes of the Data Protection Act 1998 you acknowledge that in the course of registering and using this Web Site, certain personal information or data about you will be captured electronically or otherwise and transmitted to Delivery Net Works or Delivery Net Works Contractors or other third parties mentioned in Clause 7.1 above. By accepting these Terms of Use, you expressly agree to transfer such personal information to Delivery Networks or Delivery Net Works Contractors or the third parties mentioned above, to use, store and process the personal information for the purposes of providing the Service offered via this Web Site.

7.4                For the purposes of the Data Protection Act 1998, you further agree that Delivery Net Works or a Delivery Net Works Contractor or a third party involved in the provision of the Service offered via this Web Site, may send your personal data outside of the European Economic Area for processing.

7.5                You may revoke the consents given above in Clauses 7.3 and 7.4 by giving notice to Delivery Net Works in accordance with Clause 9.1, but in those circumstances you must exit the Web Site and you will have no further rights to access the Web Site.

8.1                Delivery Net Works does not limit its liability for death or personal injury to the extent only that it arises as a result of the negligence of Delivery Net Works, its employees, Delivery Net Works Contractors, and the remainder of this Clause 8 shall not apply to such liability.

8.2                To the extent that Delivery Net Works is deemed by a court of competent jurisdiction to have any liability to you in contract, tort (including negligence) or otherwise in relation to this Web Site, Delivery Net Works' entire liability shall be limited to £1,000 for any one incident or series of related incidents and up to £2,000 for all incidents in any period of 12 months.

8.3                Delivery Net Works shall not be liable to you in contract, tort, negligence (other than fraudulent or negligent misrepresentations) or otherwise for:

8.3.1          any economic loss, (including without limitation, loss of revenue, business, contracts, profits or anticipated savings);

8.3.2          any loss of goodwill or reputation;

8.3.3          any loss of data; or

8.3.4          any special, indirect or consequential loss.

8.4                The express terms of these Terms of Use are in lieu of all warranties, conditions, undertakings, terms and obligations implied by statute, common law, usage, course of dealing or otherwise, all of which are excluded to the fullest extent permitted by law.

9.2                Delivery Net Works may send you notice by general notice on this Web Site, by email to your email address on record with Delivery Net Works, or by post to the geographical address on record with Delivery Net Works. Such notice will be effective if sent by email or posted on the Web Site, 3 days from the date it was sent or posted on the Web Site. If sent by regular post, it will be effective 3 days after posting by Delivery Net Works.

10.1             These Terms of Use form the entire agreement between you and Delivery Net Works and supersede any other oral or written communications, agreements or representations with respect to your use of this Web Site.

10.2             Delivery Net Works reserves the right to add to or change the terms of these Terms of Use on 14 days notice to you in accordance with Clause 9.2.

10.3             Nothing in these Terms of Use affects your statutory rights as a consumer.

10.4             If any part of these Terms of Use are held by a court of competent jurisdiction to be unenforceable, the validity of the remainder of these Terms of Use will not be affected.

10.5             If Delivery Net Works or any Delivery Net Works Contractor is unable to perform any obligation under these Terms of Use because of a matter beyond its reasonable control (including but not limited to); fire, flood, explosion, war, civil disorder, industrial disputes (whether or not involving its employees) failure of communications or computer software or hardware, or other disasters or governmental laws and regulations imposed after the fact, or events beyond the reasonable control of Delivery Net Works or any Delivery Net Works Contractor, neither Delivery Net Works nor any Delivery Net Works Contractor will have any liability for that failure to perform.

10.6             Your use of the Internet is solely at your risk and subject to all applicable laws, and Delivery Net Works has no responsibility for any information, software, services or other materials accessed or obtained by you using the Internet.

10.7             For the avoidance of doubt nothing in these Terms of Use shall confer on any third party any benefit or the right to enforce any term of these Terms of Use.

10.8             Unless otherwise specified on this Web Site, the Delivery Net Works Material available on this Web Site is directed solely at those who access the Web Site from the United Kingdom. Delivery Net Works makes no representation that any Delivery Net Works Material is appropriate for use elsewhere, or available in any other locations. Those who choose to access this Web Site from any other location are solely responsible for compliance with local laws and regulations if, and to the extent, that they are applicable.

10.9             These Terms of Use are governed by the laws of England, and subject to the non-exclusive jurisdiction of the English Courts.
